THIS AGREEMENT: By agreeing to the terms and conditions of this Agreement, you (the "User") become a User of NetSweets, a service of ADMAX Plus Company Limited, and agree to be bound by this Agreement (the "Agreement"). This Agreement is subject to change by NetSweets at any time, and such changes are effective upon posting of the change herein. Due to the Children's Online Privacy Protection Act of 1998 (which is available at http://www.ftc.gov/ogc/coppa1.htm), User must be at least thirteen (13) years of age to use this Service. User must provide current, accurate identification, contact, and other information that may be required as part of the registration process and/or continued use of the Service. User is responsible for maintaining the confidentiality of User’s Service password and account, and is responsible for all activities that occur thereunder. NetSweets reserves the right to refuse service to anyone at any time without notice for any reason. Proper Use. User agrees that User is responsible for User’s own communications and for any consequences thereof. User’s use of the Service is subject to User’s acceptance of and compliance with the Agreement. User agrees that User will use the Service in compliance with all applicable local, state, national, and international laws, rules and regulations, including any laws regarding the transmission of technical data exported from User’s country of residence. User shall not, shall not agree to, and shall not authorize or encourage any third party to: (i) use the Service to upload, transmit or otherwise distribute any content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, contains viruses, or is otherwise objectionable as reasonably determined by NetSweets; (ii) upload, transmit or otherwise distribute content that infringes upon another party's intellectual property rights or other proprietary, contractual or fiduciary rights or obligations; (iii) prevent others from using the Service; (iv) use the Service for any fraudulent or inappropriate purpose; or (v) act in any way that violates the Program Policies, as may be revised from time to time. Violation of any of the foregoing may result in immediate termination of this Agreement, and may subject User to state and federal penalties and other legal consequences. NetSweets reserves the right, but shall have no obligation, to investigate User’s use of the Service in order to determine whether a violation of the Agreement has occurred or to comply with any applicable law, regulation, legal process or governmental request. USER REPRESENTATIONS AND WARRANTIES: The User is solely responsible for the accuracy and authenticity of the content of information submitted to NetSweets for distribution. The user represents and warrants to NetSweets, as follows: a. That User is authorized to submit the Press Release, Article or any other information to NetSweets for distribution; b. That the content of the Press Release and any other information is factually and legally accurate; c. That the publication of the material in the Release and any other material and information does not violate any, Country, state, federal or common law, copyright, trademark, or service mark rights, any other property rights, privacy rights, confidentiality rights or other proprietary rights of any third party, d. User will be solely responsible for the development, operation, and preparation of the Press Release and for all materials that appear therein; e. That the Press Release, Article and any other information does not contain any information which is defamatory, libelous or otherwise illegal; and f. That User has independently evaluated the desirability of utilizing NetSweets services and is not relying on any representation, guarantee, or statement other than as set forth in this Agreement. USER'S INDEMNIFICATION OBLIGATIONS: In the event any third party brings any claim, action, arbitration, or other proceeding against NetSweets (collectively, "legal proceeding"), arising from the distribution or publication of any Release, Article or other material provided by User to NetSweets for distribution or publication, or from any breach of this Agreement, including but not limited to the |
